Terms of Service

Welcome to Artha ERP ("Service"), provided by Adwaita Techno Labs ("Company", "we", "our", or "us"). By accessing or using our Service available at arthaapp.in, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By registering for, accessing, or using the Artha ERP Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Artha ERP is a cloud-based enterprise resource planning (ERP) software solution designed for Indian Small and Medium Enterprises (SMEs). Our Service includes:

  • GST-compliant invoicing and accounting
  • Inventory management
  • Payroll and HR management
  • Attendance tracking
  • Store and order management
  • Analytics and reporting tools
  • Integration with third-party accounting software (e.g., Tally ERP)

3. Subscription and Payment

3.1 Subscription Plans

Artha ERP operates on a Software-as-a-Service (SaaS) subscription model. Subscription fees are charged on a monthly or yearly basis, as selected during registration or upgrade. Custom development services may be available at additional cost.

3.2 Payment Terms

Payment for subscriptions is due in advance. All fees are exclusive of applicable taxes, which will be added as per Indian tax regulations including GST. By providing payment information, you authorize us to charge the applicable fees to your chosen payment method.

3.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. You will be charged the then-current subscription fee for the renewal period.

3.4 Price Changes

We reserve the right to modify subscription fees with at least 30 days' notice. Continued use of the Service after price changes constitutes acceptance of the new fees.

4. User Accounts

4.1 Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account Security

You must notify us immediately of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

5. Data and Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your data. You retain all rights to your business data entered into the Service. We implement industry-standard security measures to protect your data, but cannot guarantee absolute security.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other malicious code
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to harass, abuse, or harm others
  • Resell or redistribute the Service without authorization

7. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Adwaita Techno Labs and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8. Service Availability

While we strive to provide uninterrupted access to the Service, we do not guarantee that the Service will be available at all times. We may suspend access for maintenance, updates, or unforeseen technical issues. We are not liable for any loss or damage resulting from service interruptions.

9. Limitation of Liability

To the maximum extent permitted by law, Adwaita Techno Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Adwaita Techno Labs, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

12. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. Please refer to our Refund Policy for information about refunds.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Shivamogga, Karnataka, India.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
